These Terms of Service (“Terms”) govern the provision of services by Vibrant HR Partners Limited (“we”, “us”, “our”) to the client (“you”, “your”) and form a legally binding agreement between us. By engaging our services, you agree to these Terms.
Scope of Service
We provide HR consulting and people-focused services to individuals and businesses, including but not limited to:
Recruitment and onboarding support
HR compliance and documentation
Payroll guidance
Business Development and Management
CV optimization and interview preparation
HR analytics and reporting
Training and development
AI-powered tools for CV screening, onboarding, and microlearning
Specific services and deliverables will be outlined in a written proposal or service agreement tailored to your needs.
Client Responsibilities
You agree to:
Provide accurate, complete, and timely information as needed to enable us to perform the services.
Respond to requests for feedback or approvals promptly.
Ensure that your internal processes and decisions remain your responsibility.
Use any deliverables or recommendations responsibly and by the law.
We are not liable for any delays or issues caused by your failure to provide required input or access.
Fees and Payment
Fees will be confirmed in writing before the commencement of services.
Payment may be required upfront, monthly, or upon project milestones, depending on the service package.
We reserve the right to suspend services if payment is not received within 14 days of the due date.
All invoices are payable in GBP unless otherwise stated.
Late payments may incur a fee of 2% interest per month on the outstanding amount.
Note: VAT will be applied where applicable.
Confidentiality
Both parties agree to keep confidential all non-public information shared during the course of service delivery. We will not disclose any confidential information to third parties without your consent, except as required by law.
This clause survives the termination of the agreement.
Use of AI and Technology
We may use AI tools to support service delivery (e.g., CV analysis, skill mapping). These tools:
They are used under human oversight
Do not make autonomous decisions
They are used for insight and efficiency, not for final judgment
You agree that the use of such tools does not constitute a fully automated decision-making process.
Intellectual Property
Unless otherwise agreed, all materials, templates, and deliverables we create for you remain our intellectual property. You are granted a non-exclusive, non-transferable license to use them for internal business purposes only.
You may not resell, distribute, or claim ownership of our proprietary materials.
Limitation of Liability
We shall not be liable for:
Loss of profits or business
Any indirect, incidental, or consequential damages
Decisions made by you based on our advice or materials
Our total liability shall not exceed the amount paid by you for the specific services rendered in the 3 months preceding the claim.
Cancellation and Termination
Either party may terminate services with written notice (usually 14 days unless otherwise agreed). In the event of early termination:
You are responsible for payment for services delivered up to the termination date.
Deposits are non-refundable unless otherwise agreed.
We reserve the right to terminate services immediately if you breach these terms or behave in a threatening, abusive, or unethical manner.

Dispute Resolution
We aim to resolve any disputes amicably. If a resolution cannot be reached, disputes will be governed by the laws of England and Wales and subject to the jurisdiction of the courts of England and Wales.
Changes to Terms
We reserve the right to update these Terms at any time. Any changes will be communicated via our website or email.
Entire Agreement
These Terms, together with any proposals or statements of work, constitute the entire agreement between you and Vibrant HR Partners Limited and supersede all prior communications.
